Draft pending legal review
This text describes how ViewTracker works today but has not yet been reviewed by legal counsel. Items in [brackets] are still to be filled in.
1. Agreement
These terms are an agreement between you and [Legal entity name], [Registered address] (“ViewTracker”, “we”, “us”) for the ViewTracker website, web application, API and mobile app (the “Service”). By creating an account or using the Service you accept these terms and our Privacy Policy.
If you use the Service for a company or other organization, you confirm that you may accept these terms for it, and “you” includes that organization. You must be at least 18 years old.
2. The Service
ViewTracker tracks the public metrics of short-form videos and profiles on TikTok, Instagram, YouTube and Facebook, turns them into dashboards, campaign reports, payout calculations and alerts, offers an API and integrations, and lets workspaces publish videos to TikTok, Instagram, YouTube and Facebook Page accounts they connect. ViewTracker calculates payouts but does not send money to creators.
3. Accounts and workspaces
- Give accurate information when you sign up and keep it up to date. Keep your password and API keys secret; you are responsible for activity under your account.
- Workspaces have owner, admin, member and viewer roles. Owners are responsible for who they invite and for what members do in the workspace.
- One free trial per person and per company email domain.
- Tell us at once at hello@viewtracker.ai if you suspect unauthorized access to your account.
4. Plans, trials and billing
- Plans, prices and limits are shown on Pricing. Payments are processed by Stripe under its terms.
- Trials do not need a card. If you add a card, billing starts when the trial ends; if you don't, nothing is charged and the workspace continues on the Free plan.
- Paid plans renew automatically each month or year until cancelled. You can cancel at any time from Settings → Billing; the plan stays active until the end of the period you have paid for.
- If ViewTracker isn't right for you, write to hello@viewtracker.ai within 30 days of your first payment and we refund it in full. Other payments are not refundable unless the law requires otherwise.
- Regional prices are for customers based in those countries. The price follows your country at checkout, and the country of the payment card is checked afterwards.
- Prices do not include taxes unless stated; you pay any applicable taxes. We will give you notice before a price change applies to an existing subscription.
- Plan limits (videos, creators, seats, data credits and refresh frequency) apply as described on the pricing page. When you reach a limit, you can't add more until you upgrade or free up space.
5. Acceptable use
You agree not to:
- use the Service to break any law or the rights of others, or to stalk, harass or profile private individuals;
- publish content you don't have the rights to, or content that is illegal, deceptive, hateful or infringes intellectual property;
- connect a social account you don't own or aren't authorized to manage;
- break the terms or policies of TikTok, Instagram, Facebook, YouTube or any other platform you track or publish to;
- work around plan limits, rate limits or security measures, access other customers' data, or probe the Service for vulnerabilities outside our security reporting process;
- copy, scrape, resell or reverse engineer the Service, or use it to build a competing product, unless we agree in writing;
- upload malware or overload the Service.
6. Public data and third-party platforms
- Metrics come from public pages, public APIs and third-party public-data providers. Platforms can change, hide or delay public numbers, so metrics may be missing, delayed or differ from what a creator sees in their own app. We show a gap instead of a guess when a reading is missing, but we don't guarantee that metrics are complete or accurate.
- Check payout calculations before you pay anyone. You are responsible for payments you make to creators.
- ViewTracker is not affiliated with, endorsed or sponsored by TikTok, Meta, Instagram, Facebook, Google or YouTube. Their names and logos belong to their owners.
- You are responsible for having a lawful basis to add personal data about creators, such as names and email addresses, to your workspace.
7. Publishing to connected accounts
- Owners and admins can connect TikTok, Instagram, YouTube and Facebook Page accounts through each platform's official sign-in. You confirm that you own each account you connect or are authorized to manage it and to publish to it.
- You authorize us to send the video, caption, title and settings you choose to the platform at the time you choose, and to check the post's status afterwards. We request only the permissions listed in our Privacy Policy and use them only for this.
- You are responsible for what you publish, including having the rights to its music and footage, labelling promotional or paid content as the platform requires, and following each platform's rules, such as TikTok's Terms of Service, Music Usage Confirmation and Branded Content Policy, Meta's terms for Instagram and Facebook, and the YouTube Terms of Service. By connecting a YouTube channel, you agree to be bound by the YouTube Terms of Service.
- Platforms decide whether and how a post appears. They may reject, delay or limit a post, for example by keeping it private until they have reviewed our app. We retry temporary failures but don't guarantee that a post is published.
- Uploaded files are deleted seven days after every post that uses them has finished. Keep your own copy of everything you upload.
- You can disconnect an account at any time in Publish → Accounts and revoke access in the platform's settings; see Data deletion. Disconnecting cancels the account's scheduled posts. Posts already published stay on the platform until you delete them there.
8. Your content and data
- You keep all rights to the content and data you add to the Service, including videos you upload to publish.
- You give us a worldwide, non-exclusive license to host, store, process, transmit and display that content only as needed to provide the Service to you, including sending it to the platforms you choose.
- We handle personal data as described in the Privacy Policy. A data processing agreement is available on request.
- You can export your data as CSV while your account is active.
9. Our intellectual property
The Service, its software, design and documentation belong to us and our licensors. We give you a limited, non-transferable right to use the Service under these terms. If you send us feedback, we may use it without any obligation to you.
10. API and integrations
API access depends on your plan and is subject to rate limits. Keep API keys and webhook secrets confidential. Integrations with third-party services, such as Google Sheets, Slack, Discord or Telegram, are subject to those services' terms as well.
11. Availability and changes
We work to keep the Service available but do not promise uninterrupted access unless we agree to a service level in writing. We may change, add or remove features. If we remove a major paid feature, we will tell you in advance.
12. Suspension and termination
- You can stop using the Service at any time. Workspace owners can delete a workspace from Settings after cancelling its subscription.
- We may suspend or close an account that breaks these terms, does not pay, or puts the Service, other customers or third parties at risk. Where reasonable, we will tell you first and give you a chance to fix the problem.
- After closure, data is deleted as described in the Privacy Policy and on the Data deletion page.
13. Disclaimers
The Service is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability and non-infringement. Nothing in the Service is legal, tax or financial advice.
14. Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months before the claim. [Liability cap and carve-outs to be confirmed with counsel]
Nothing in these terms limits liability that cannot be limited by law.
15. Indemnity
You will defend and indemnify us against claims from third parties arising from content you publish through the Service, data you add to it, or your breach of these terms or of a platform's terms.
16. Governing law and disputes
These terms are governed by the laws of [Governing law]. Disputes will be resolved by the courts of [Venue], unless the law of your country gives you the right to bring a claim where you live.
17. Changes to these terms
We may update these terms. We will change the date at the top of this page and, for material changes, tell account owners by email or in the app at least 14 days before they apply. Continuing to use the Service after that means you accept the new terms.
